Terms and Conditions and User Agreement
Nilbash LLC · Effective October 14, 2026 · Last updated October 17, 2026
nilbash is operated by Nilbash LLC.
Agreement version: 2026-10-14
These Terms and Conditions and User Agreement (the “Agreement” or “Terms”) form a binding agreement between Nilbash LLC, a Colorado limited liability company (“Nilbash,” “we,” “us,” or “our”), and each person or entity that accesses or uses nilbash.com, related applications, accounts, messaging tools, or services (collectively, the “Platform”). By affirmatively accepting these Terms or using the Platform after acceptance, you agree to them. If you act for an organization, you represent that you are authorized to bind it. The Privacy Policy, applicable Buyer License, consent disclosures, and posted pricing or payout terms are incorporated only to the extent expressly identified and presented to you. In a conflict, a separately collected, legally required consent controls the relevant activity.
1. Definitions
“Member” means an individual who voluntarily supplies professional profile information and controls its availability. “Buyer” means an approved individual or organization purchasing limited on-platform access to Member information or the ability to submit professional messages. “Member Data” means information a Member directly provides, including name, professional role, company, work interests, contact information, profile content, preferences, and consent choices. “Authorized Access” means access granted to a verified Buyer only within the Member’s current permissions and Nilbash’s technical controls. “Professional Message” means a business-related communication submitted through the Platform and transmitted by Nilbash when permitted. “Net Eligible Revenue” means revenue actually collected from eligible access or messaging transactions, less only deductions specifically identified in the then-current payout schedule.
2. Eligibility, U.S.-Only Service and Accounts
The Platform is offered only to persons physically located in the United States and eligible to contract under applicable law. Users must be at least 18 years old. Buyers must supply truthful identity and business information and pass any verification Nilbash requires. Each user must maintain accurate account details, protect credentials, promptly report suspected compromise, and not share or transfer accounts without written permission. Nilbash may reject registrations or restrict access where reasonably necessary for legal compliance, safety, fraud prevention, or enforcement.
3. Voluntary Submission and Member Control
Member participation and submission of Member Data are entirely voluntary. Nilbash does not claim ownership of Member Data. Members decide what information to submit, publish, make accessible, or remove through available controls. Nilbash’s intended model is to obtain professional profile information directly from the participating Member, not to acquire or enrich Member profiles from outside data brokers, public scraping, purchased contact lists, or other third-party sources. Operational information generated by use of the Platform, such as security logs, consent records, payment records, and message delivery events, may still be collected as disclosed in the Privacy Policy. Members warrant that submitted information is accurate to their knowledge, lawful to provide, and does not improperly disclose another person’s confidential or personal information.
4. Member License and Express Marketplace Authorization
By voluntarily submitting Member Data and enabling the relevant sharing settings, a Member grants Nilbash a limited, nonexclusive, revocable, worldwide license, solely to the extent needed to operate the U.S.-only Platform, to host, organize, display, process, secure, and make selected Member Data available to approved Buyers in accordance with the Member’s settings, applicable law, and this Agreement. This license does not transfer ownership. THE MEMBER EXPRESSLY AUTHORIZES NILBASH TO CHARGE APPROVED BUYERS FOR LIMITED ACCESS TO THE MEMBER’S AUTHORIZED PROFESSIONAL PROFILE INFORMATION AND FOR THE ABILITY TO SUBMIT PROFESSIONAL OFFERS OR MESSAGES TO THE MEMBER THROUGH NILBASH, SUBJECT TO SEPARATE MESSAGING CONSENT, MESSAGE PREFERENCES, AND APPLICABLE LAW. No Buyer obtains ownership of Member Data. Nilbash will not disclose or license Member Data to an unauthorized third party outside the Member-authorized Platform access model without the Member’s express consent, except narrowly as required for essential service providers acting under confidentiality and processing restrictions, or where legally compelled, as explained in the Privacy Policy. Any disclosure materially beyond the scope of a Member’s existing permission requires new, appropriately specific consent.
5. Authorized Buyers and Access Controls
Buyer access is conditional, limited, personal to the approved account, nonexclusive, nontransferable, revocable, and available only for the specific authorized on-platform purpose and term purchased. Buyer access may expose only the data fields the Member has chosen to make available. Buyers may not assume that access includes a right to download, retain, copy, export, use contact information outside the Platform, or contact Members through other channels. Nilbash may apply identity verification, approval, category restrictions, frequency limits, spending limits, auditing, and technical access controls. Payment never overrides a Member’s preferences, consent withdrawal, deletion request, or applicable legal restriction.
6. Strict Buyer Data License and Prohibited Uses
A Buyer may view authorized information only within Nilbash’s interface to evaluate and submit legitimate, relevant professional offers or messages through Nilbash. Except to the extent nonwaivable law expressly requires otherwise, Buyers SHALL NOT: (a) copy, download, export, print, photograph, screen-capture, record, cache, retain, or systematically transcribe Member Data; (b) transfer, sell, sublicense, license, rent, disclose, publish, distribute, broker, or otherwise make Member Data available to any other person; (c) import or enter Member Data into any CRM, spreadsheet, sales-engagement tool, contact database, marketing list, enrichment service, AI system, or other external repository; (d) use Member Data outside the Platform or to contact a Member directly through telephone, SMS, email, social media, or other channels; (e) scrape, crawl, harvest, reverse engineer, automate collection, create derivative databases, combine Member Data with outside datasets, or reidentify de-identified information; (f) use information for eligibility decisions involving employment, credit, housing, insurance, or other purposes regulated by the Fair Credit Reporting Act or similar laws; (g) engage in harassment, discrimination, deceptive outreach, phishing, unlawful advertising, or other unlawful conduct; or (h) circumvent permissions, rate limits, consent settings, security features, or access restrictions. This restriction applies whether access was free, paid, trial-based, viewed, or obtained indirectly. Buyers may use information only to the minimum extent necessary to compose and send a permitted message within the Platform. No implied license exists. These restrictions survive termination for any information accessed.
7. Platform-Managed Messaging and Separate SMS Consent
Nilbash, not the Buyer, transmits SMS messages through its designated messaging infrastructure. A Buyer submits proposed message content; Nilbash may screen, reject, edit for compliance with disclosed rules, limit, or decline delivery. A Member’s acceptance of these Terms authorizes the Platform’s business model and the opportunity for Buyers to submit professional offers; IT DOES NOT, BY ITSELF, CONSTITUTE CONSENT TO RECEIVE MARKETING OR AUTOMATED SMS. Where required, Nilbash will obtain a separate, clear, affirmative SMS opt-in that identifies Nilbash, describes message categories, explains potential Buyer-sponsored professional or promotional content, states that consent is not a condition of purchase or membership where applicable, and provides required message-frequency, rates, and opt-out disclosures. Nilbash will record consent language, date, time, method, and applicable preferences. Nilbash will not send messages for a category, purpose, or sender for which legally sufficient consent is absent. A Member may opt out by replying STOP or using available controls, and may obtain assistance by replying HELP or contacting support. Nilbash will honor revocation and applicable do-not-contact requirements within legally required periods. Message and data rates may apply. Delivery is not guaranteed. The parties acknowledge that some Buyer-sponsored messages may be advertising or telemarketing under applicable law even if described as professional outreach. Buyers may not submit messages that require consent or authorization Nilbash has not obtained.
8. Buyer Messaging Standards and Responsibility
Buyers must identify their organization accurately, describe offers truthfully, comply with applicable marketing, consumer-protection, employment, privacy, and anti-discrimination laws, and refrain from misleading subject matter, impersonation, threats, sexual content, unlawful financial schemes, or prohibited goods and services. Buyers warrant that their message content, claims, links, and proposed purpose are lawful, substantiated, and noninfringing. Nilbash may impose per-Member contact limits, quiet hours, suppression lists, and approval processes. Buyer bears responsibility for the legality of its submitted content and its downstream conduct; Nilbash remains responsible for its own conduct and legal duties as message sender, including obligations that cannot be shifted by contract. Nilbash does not guarantee that a Member will read, respond to, or accept an offer.
9. Revenue Sharing and Member Earnings
Eligible Members may receive a share of qualifying revenue generated by authorized access to their profile or eligible messaging transactions, according to the payout schedule displayed in the Platform and accepted before participation in the relevant program. The schedule must state the percentage or formula, definition of revenue, permissible deductions, attribution rules, minimum payout, payment frequency, refund or chargeback adjustments, inactivity treatment, and any expiration or forfeiture rule permitted by law. No minimum earnings or income is guaranteed. Nilbash may withhold disputed or fraudulent amounts pending reasonable investigation, correct accounting errors, and comply with legally required tax reporting or withholding. Material adverse changes to revenue-sharing terms apply prospectively after appropriate notice and acceptance where required. Earned, undisputed amounts remain payable following account termination subject to lawful offsets and payout requirements. Members are responsible for their own taxes unless law requires otherwise.
10. Buyer Fees, Billing and Refunds
Buyers agree to the pricing, subscription term, usage limits, renewal rules, taxes, and cancellation terms conspicuously displayed at checkout. Recurring charges require the applicable affirmative authorization and clear cancellation process. Except as required by law or the applicable checkout terms, fees for completed authorized access or messages may be nonrefundable; prepaid unused balances, failed delivery, revocation of access, and service failures are governed by the published refund policy and mandatory law. Nilbash may suspend access for nonpayment, fraud, or chargeback abuse. Buyer purchases never confer ownership or continuing access rights.
11. Internal Artificial Intelligence; Opt-Out
Nilbash may use Member Data internally to operate, secure, personalize, improve, and develop Platform features, including proprietary artificial intelligence or machine-learning models, only as described in the Privacy Policy and subject to applicable law. Where legally permitted and adequately disclosed, eligible Member Data may be included in training or fine-tuning of AI systems developed and controlled by Nilbash unless the Member elects the available AI-training opt-out. Nilbash will provide an accessible opt-out before applicable training use and will honor it prospectively; where law requires affirmative opt-in, Nilbash will obtain that consent instead. Nilbash will not provide Member Data to third-party AI vendors for their model training, and will not transmit identifiable Member Data to external generative-AI services or third-party model providers. Any infrastructure or processor access necessary to operate Nilbash-controlled AI must be accurately disclosed, contractually restricted, and consistent with this commitment; Nilbash must not promise zero third- party processing if its actual architecture does not support that promise. An opt-out stops future training use as required by law; removing contributions from models already trained may not be technically feasible, and Nilbash will describe any legally required deletion, unlearning, or remediation measures in the Privacy Policy.
AI-generated outputs must not be used to bypass Member access permissions or reveal suppressed information.
12. Privacy, Security and Legal Compliance
Nilbash will comply with applicable federal and state privacy, consumer-protection, data-security, electronic- communications, and data-broker laws to the extent they apply to its actual activities, including applicable notice, access, correction, deletion, portability, opt-out, consent, and appeal requirements. Nilbash will publish a separate Privacy Policy describing categories of information, purposes, recipients, retention, security practices, user rights, and request procedures. Nilbash will implement reasonable administrative, technical, and organizational safeguards appropriate to the information and risks, including role-based access, logging, vendor diligence, and incident-response processes. No system is perfectly secure. Nilbash will provide legally required security-incident notices. Nilbash will not characterize information as anonymous unless it meets applicable standards and will not use contractual language to waive nonwaivable privacy rights.
13. Data Access, Correction, Deletion and Withdrawal
Members may use account controls to access, correct, hide, or delete individual profile fields, change permissions and messaging preferences, opt out of eligible internal AI training, or request deletion of their entire account. Nilbash will cease making removed fields available for new Buyer access and revoke access as promptly as reasonably practicable, subject to applicable law and technical implementation. On account deletion, Nilbash will delete or deidentify Member Data within the periods required by law, except information it must or may lawfully retain for security, fraud prevention, dispute resolution, tax, accounting, consent evidence, compliance, or other disclosed legitimate purposes. Backups may be removed on a documented cycle, protected from ordinary use meanwhile. Nilbash cannot guarantee erasure of information unlawfully captured by a Buyer but may pursue enforcement and remedial measures. Consent withdrawal does not retroactively invalidate lawful processing completed before withdrawal. A Member may exercise rights without unlawful retaliation or discrimination.
14. Confidentiality and Buyer Enforcement
All nonpublic Member Data and access-controlled Platform information constitute confidential information made available only under the limited license in these Terms. Buyers must immediately stop using information when access ends, a Member withdraws permission, or Nilbash directs them to stop; Buyers must promptly report any suspected unauthorized acquisition, copying, disclosure, or compromise. Nilbash may investigate, preserve relevant evidence, suspend accounts, require written certifications of deletion, seek injunctive relief where available, pursue damages and other lawful remedies, and notify affected persons or authorities when appropriate. No contractual provision prevents a user from reporting suspected violations to regulators or exercising protected legal rights.
15. Intellectual Property and Feedback
Nilbash and its licensors own the Platform software, interfaces, trademarks, documentation, selection and arrangement of non-Member proprietary content, and related intellectual property. Except for the limited rights expressly granted, no rights transfer. Members retain their rights in Member Data. Users grant Nilbash a limited license to use feedback voluntarily submitted about Platform functionality without compensation, excluding Member Data or confidential information unless separately authorized. Users may not use Nilbash marks without prior written consent.
16. Acceptable Use, Professional Conduct and Platform Integrity
Users may not commit fraud, misrepresent identity or authorization, violate law, interfere with systems, test security without permission, transmit malware, create deceptive accounts, exploit vulnerabilities, conduct automated scraping, manipulate payments or earnings, submit unlawful or infringing material, or interfere with other users’ privacy or rights.
Professional purpose and respectful conduct. Treat other users with courtesy, dignity, and respect in profiles, messages, links, and all other interactions involving the Platform. Communications must have a genuine, lawful professional or business purpose relevant to the recipient. Nilbash is not a dating, adult-content, or general-purpose personal messaging service. Purchasing access or sending a paid message does not entitle you to a response, a meeting, a personal relationship, or any further contact.
Harassment and discriminatory or abusive content. Do not bully, threaten, intimidate, stalk, degrade, or harass anyone. Hate speech, discriminatory slurs, abusive or degrading profanity directed at others, and attacks based on actual or perceived protected characteristics are prohibited. This includes body shaming, appearance-based insults, and comments that demean someone’s body, age, or perceived attractiveness. Disagreement or a rejected proposal is never grounds for retaliation, intimidation, or public humiliation.
Sexual and non-professional messages. Do not send or post sexually explicit or pornographic material, sexual requests, unwanted romantic or sexual advances, sexualized remarks, requests for intimate images or information, or links to such material. Do not use professional contact access for dating, unrelated personal solicitation, or other non-work communications. Illegal, exploitative, nonconsensual, or abusive sexual content is strictly prohibited.
Unwanted contact, spam and privacy. Do not send deceptive, irrelevant, repetitive, or bulk unsolicited messages; impersonate others; submit scams or malicious links; disclose another person’s private information without authorization; or use information outside the permissions and licenses granted by the Platform. Respect refusals, requests to stop, and opt-outs. Do not evade contact limits, suppression controls, or account restrictions by using another account, identity, or contact method. Any permitted use of work contact details remains subject to the recipient’s permissions and applicable law.
Moderation and reporting. Nilbash may investigate suspected violations, review relevant Platform activity, remove or restrict content, limit messaging or other features, and suspend or terminate accounts as described in Section 21. We may take immediate action where appropriate and may cooperate with lawful requests. We do not promise to review every interaction or prevent every instance of misconduct; nothing in these Terms limits duties imposed by law. Report suspected abuse or safety concerns to support@nilbash.com with relevant details, and avoid including unnecessary sensitive information.
17. Third-Party Services and Independent Parties
Nilbash may use payment processors, telecommunications providers, hosting vendors, identity-verification services, and other subprocessors solely as reasonably necessary to deliver services and under appropriate contractual and legal safeguards. Such service providers are not authorized to independently sell Member Data or train their own AI models on it. The Privacy Policy must accurately identify categories of service providers and disclosures. Buyers and Members are independent third parties; Nilbash is not a party to any separate employment, consulting, sales, or other transaction arising from a message unless expressly agreed in writing.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. NILBASH DOES NOT GUARANTEE ACCURACY OF MEMBER-SUBMITTED INFORMATION, MESSAGE DELIVERY, RESPONSE RATES, EARNINGS, BUSINESS OPPORTUNITIES, OR BUYER OUTCOMES. NOTHING IN THESE TERMS DISCLAIMS WARRANTIES, DUTIES, OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NILBASH AND ITS OFFICERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES ARISING FROM THE PLATFORM. SUBJECT TO NONWAIVABLE LAW, NILBASH’S AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) AMOUNTS PAID BY THE CLAIMANT TO NILBASH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; FOR A MEMBER WITH NO FEES PAID, THE CAP IS $100. THIS LIMITATION DOES NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING TO LIABILITY THAT CANNOT BE LIMITED FOR FRAUD, WILLFUL MISCONDUCT, OR CERTAIN PRIVACY, DATA- SECURITY, OR STATUTORY VIOLATIONS. Counsel should assess whether a different cap is commercially and legally appropriate.
20. Indemnification
To the extent permitted by applicable law, a Buyer or organizational user will defend, indemnify, and hold harmless Nilbash and its personnel from third-party claims, losses, and reasonable legal expenses arising from that user’s unlawful message content, unauthorized data collection or disclosure, violation of the Buyer license, infringement, fraud, or material breach of these Terms, except to the extent caused by Nilbash’s own wrongful conduct. Individual Members are responsible for knowingly unlawful or infringing content they submit, but no indemnity shifts Nilbash’s nondelegable legal obligations or restricts statutory consumer rights. Nilbash will provide reasonably prompt notice and allow appropriate control of defense, subject to conflicts of interest.
21. Suspension, Termination and Survival
Members may close accounts through available controls. Buyers may cancel in accordance with applicable billing terms. To the extent permitted by applicable law, Nilbash may, in its discretion and at any time, restrict features or messaging, remove content, unpublish profiles, suspend accounts, or terminate access for violations of these Terms or posted conduct rules, reasonably suspected misuse, fraud, threats to safety or security, legal risk, or other lawful business or operational reasons. We may act with or without advance notice where legally permitted, including while investigating a concern. We will provide notice or an opportunity to challenge a decision where required by law; account-related questions may be sent to support@nilbash.com.
Termination ends all Buyer access and licenses immediately. Enforcement does not automatically forfeit legitimately accrued earnings or eliminate statutory refund, privacy, or consumer rights. Outstanding payments, unused balances, refunds, and any lawful withholding remain subject to applicable published payment terms and law. Provisions concerning accrued payments, prohibited retention or resale, confidentiality, intellectual property, disputes, indemnification, and limitations of liability survive to the extent applicable. Deletion and retention obligations remain governed by Section 13 and the Privacy Policy.
22. Disputes, Arbitration and Class Action Waiver
PLEASE READ CAREFULLY. Except for claims eligible for small-claims court, requests for temporary injunctive relief to protect data or intellectual property, and claims that applicable law makes nonarbitrable, disputes arising from the Platform or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial rules, as appropriate, with a neutral arbitrator. Before filing, a party must send a written notice describing the dispute and requested relief to support@nilbash.com and allow 30 days for informal resolution, unless urgent relief is needed. Arbitration may occur by video, telephone, documents, or in Colorado as permitted by the applicable rules and law. Fees will be allocated under governing arbitration rules and mandatory law; no clause requires a consumer to pay fees prohibited by law. THE PARTIES AGREE TO PROCEED ONLY IN THEIR INDIVIDUAL CAPACITIES, NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, TO THE EXTENT ENFORCEABLE. The arbitrator may award individual relief authorized by law. If the class waiver is unenforceable as to a claim, that claim will proceed in court to the extent required by law. A new individual user may opt out of this arbitration provision by emailing support@nilbash.com within 30 days of first acceptance, identifying the account and clearly stating the decision to opt out; all other Terms remain in force. Federal Arbitration Act governs arbitration interpretation where applicable. Mandatory rights and forums remain unaffected.
23. Governing Law and Venue
Except as otherwise required by applicable consumer law or the Federal Arbitration Act, Colorado law governs these Terms without regard to conflict-of-law rules. For claims properly heard in court, the parties consent to state or federal courts located in Colorado, subject to any nonwaivable rights to bring claims elsewhere.
24. Changes to Terms and Consent
Nilbash may revise these Terms to reflect service, legal, or security changes. We will post the revised Terms with an updated date and provide additional notice for material changes as required by law. Where material changes require renewed agreement or specific consent, Nilbash will request it before applying the change. Continued use after legally sufficient notice may indicate acceptance only where enforceable. Changes to SMS consent, expanded data sharing, or materially different AI processing will not be deemed authorized solely by continued use if law requires separate affirmative consent.
25. General Provisions
These Terms and expressly incorporated policies constitute the entire agreement concerning the Platform, except separately executed written agreements. If a provision is unenforceable, the remainder remains effective to the extent permitted by law. Nilbash’s failure to enforce a provision is not a waiver. Users may not assign their rights without written consent; Nilbash may assign in connection with a lawful reorganization or acquisition, subject to applicable privacy commitments and consent requirements. Notices may be delivered through the Platform, to the account email, or to the legal notice address below where legally permitted. Electronic records and signatures may be used consistent with applicable law. Headings are for convenience. Nothing creates an employment, partnership, agency, or fiduciary relationship.

27. Affirmative Acceptance and Separate Permissions
At signup, users should separately acknowledge: (1) “I agree to the Terms and Conditions and User Agreement”; (2) “I authorize Nilbash to make the professional profile information I choose available to verified Buyers for paid, limited on-platform access, and to allow Buyers to submit professional messages to me through Nilbash, subject to my permissions”; and, independently, (3) a clear unchecked SMS consent checkbox with the legally required disclosure. AI training should have a conspicuous explanation and readily available opt-out, with affirmative opt-in where required. Record the accepted version, timestamp, account identifier, consent scope, and changes. No prechecked box or bundled Terms acceptance should substitute for a legally required separate SMS consent.
